1. Introduction

1. This User Agreement ("Agreement") is a legally binding document between you ("User", "you" or "your") and Hitomorrow Assessment Data Classification and Analysis L.L.C ("Company", "we" or "us") regarding your access to and use of our qualification, trading assessment and educational services ("Services").
2. By registering, purchasing or using our Services, you confirm that you have read, understood and agree to be bound by this Agreement.

2. Eligibility

1. Restricted territories. The Services are not offered to, and may not be purchased by, any person resident in the United States of America, in the United Kingdom, in the Netherlands or in Croatia. Registration and payment are refused where the country of residence given is within those territories. The Services are also not directed to any person in any other jurisdiction where their offer or use would be contrary to local law, and it is the responsibility of each person to satisfy themselves that participation is lawful where they live.
2. You must be at least eighteen (18) years of age, or the age of legal majority in your country of residence if that age is higher, and capable of entering into legally binding agreements to use our Services.
3. By using our Services, you confirm that your use complies with applicable laws and regulations in the UAE and in your country of residence.

3. Nature of Services

1. The Company runs a trader qualification program and provides the training that supports it. The Services include:
2. Simulated qualification accounts carrying real-time market data from the US equity exchanges (NYSE, NASDAQ, NYSE American);
3. Assessment, review and reporting of the trading carried out on those accounts;
4. Online courses, webinars, live or recorded mentorship sessions, study materials and analytical tools;
5. Access to the community, where the qualification purchased includes it.
6. All trading during qualification takes place on a simulated account. Market data is real time, but every position, balance and result is notional. No securities are bought or sold, and you carry no real market risk.
7. Where a candidate completes a qualification, the Company may decide to allocate real firm capital to that candidate. Any such allocation is made at the Company's discretion, after verification, and under a separate written agreement with the relevant group entity. Completing a qualification does not create any right, entitlement or expectation to real capital, to a profit share, or to employment. Every candidate is reviewed individually, and the final decision rests with the firm. A candidate resident outside the location of the Company's trading floor trades the firm's capital remotely, and no relocation is required.
8. Where a qualification is purchased at the Lead or the Principal tier, the candidate's trading track record is verified after the qualification is completed and before a level is allocated. Where the verified record does not support the level associated with the tier purchased, the candidate chooses between allocation at the highest level the record does support and the return of the full participation fee. The choice rests with the candidate.
9. The rules of the qualification are published in full before purchase, in our Terms and Conditions and in the rules published on our website: the buying power of the tier, the daily pause, the AutoStop and the number of AutoStops allowed in a calendar month, the maximum loss of the tier, the profit target and the best-day rule. The maximum loss differs by tier. The rules and the figures in force on the day an attempt begins apply to that attempt for the whole of its term.
10. The Company is not a financial adviser, broker or licensed investment firm. We do not offer investment advice, portfolio management or execution services under this Agreement.

4. User Responsibilities

1. You agree to:
2. Use the Services for your own participation and your own learning;
3. Provide accurate and current registration information;
4. Maintain the confidentiality of your account credentials;
5. Abide by all applicable laws and regulations.
6. You shall not:
7. Copy, reproduce, resell or redistribute any content without prior written consent;
8. Use our materials to provide unauthorised trading education to others;
9. Hold more than one account, or allow anyone else to trade the account issued to you;
10. Misuse the platform or engage in disruptive, fraudulent or abusive behaviour.

5. Payments and Refunds

1. Prices for the Services are displayed on our website or platform and include any applicable taxes unless stated otherwise. The qualification tiers are priced at $99 (Associate), $199 (Associate Plus), $649 (Senior), $1,149 (Lead) and $2,299 (Principal). You choose the tier yourself: no tier requires an application or an invitation.
2. A qualification runs for two (2) calendar months from the day the account is opened. A Test Flight runs for one (1) calendar month.
3. The Test Flight is priced at $10. It runs for one (1) month on the conditions of a single tier, which you choose before payment and which cannot be changed afterwards. It lets you trade our conditions before committing to them. No result achieved during a Test Flight confers a place or a level. Reaching, at the close of any day within the month, half the profit target of the chosen tier as that target stood at the start of the Test Flight, without the Test Flight having ended on the AutoStop allowance, on the maximum loss of the tier or on a breach of the trading rules, earns a code for 25% off the participation fee at that tier or any tier below it. The code is for a single use, is not transferable, expires after sixty (60) days, and cannot be combined with the reduced fee for a second attempt.
4. Payments must be made in advance using approved methods (credit card, bank transfer and the other methods shown at checkout).
5. One attempt is included in the price. If an attempt ends without the profit target being reached, a second attempt at the same tier costs half the price of that tier; any attempt after that is full price. A second attempt cannot begin before the first trading session of the calendar month following the month in which the previous attempt ended.
6. Fees are non-refundable once your account has been activated or any trade has been placed, except where mandatory consumer protection law in your country of residence provides otherwise. Refunds are issued only in accordance with our Return & Refund Policy, published on our website.
7. Where a trader reaches the real capital phase, the participation fee is returned to that trader with their first profit share settlement. The fee is kept only on attempts that do not reach that phase.
8. The Company may change prices and program parameters at any time. Such a change does not affect a qualification already purchased.

6. Intellectual Property

1. All content provided by the Company, including videos, text, graphics, course structures, platform software and logos, is the intellectual property of the Company or its licensors.
2. You are granted a limited, non-exclusive, non-transferable licence to access and use the content solely for your personal learning and for your own participation in the qualification program.
3. Unauthorised copying, sharing or commercial use is strictly prohibited and may result in account suspension and legal action.

7. Disclaimers and Limitation of Liability

1. All Services are provided "as is". We do not guarantee:
2. That the information is always accurate, complete or up to date;
3. That participation will result in financial gain, in successful trading, or in an allocation of real capital.
4. Results produced on a simulated account are not a reliable indicator of results on real capital, and past performance in the qualification program does not indicate future performance.
5. The Company is not responsible for any loss or damage, including financial loss, incurred by the User as a result of applying knowledge gained from our courses or from the qualification program. The limitation of liability set out in our General Terms and Conditions applies to this Agreement.
6. Nothing in this Agreement excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability which cannot be excluded or limited by mandatory law.
7. The User is solely responsible for any trading decisions they make.

8. Privacy and Data Protection

1. We collect and process personal data in accordance with applicable UAE data protection laws and our Privacy Policy.
2. By using our Services, you consent to the collection and use of your personal data as described in our Privacy Policy. This includes the recording and analysis of the trading activity on your account, which is the basis on which a qualification is assessed.

9. Termination

1. The Company may suspend or terminate your access to the Services if:
2. You breach any term of this Agreement;
3. You engage in illegal or abusive behaviour on our platform;
4. The Company is required to do so by law or by a regulatory authority.
5. You may terminate your use of the Services at any time. However, termination does not entitle you to a refund unless explicitly provided in our Return & Refund Policy.

10. Amendments

1. We reserve the right to update or amend this Agreement at any time. Updated versions will be posted on our website with the "Effective Date" updated accordingly.
2. Continued use of the Services after any amendment constitutes your acceptance of the revised Agreement.

11. Governing Law and Jurisdiction

1. This Agreement is governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai.
2. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai.
